Terms of Use
These Terms govern access to and use of GeoVue, including mapping, recording, processing, reporting, AI-assisted discussion, account features and paid processing credits.
1. Definitions
“GeoVue,” “we,” “us,” or “our” means GeoVue Ltd, a company incorporated under the laws of New Zealand.
“User,” “you,” or “client” means the person or organisation accessing or using the Services, including authorised employees, contractors or representatives.
“Services” means GeoVue, related web app features, mapping tools, recording tools, cloud processing, data analysis, reports, AI or automated discussion features, support resources, and any related software or services made available by GeoVue.
“Data” means sensor readings, recordings, location data, survey data, project files, processed results, interpretations, outputs, messages, reports and other content submitted to or generated by the Services.
“Processing credits” or “meters” means prepaid digital credits used to request paid cloud processing.
2. Service description and limitations
GeoVue provides geophysical mapping, data recording, data processing, analysis and reporting tools. The Services are intended to support professional assessment and decision-making, not to replace independent professional judgement.
All datasets, interpretations, logs, risk assessments, recommendations and outputs are calculated estimates only. They are derived from signal attributes, sensor-collected data, user-provided data, assumptions, algorithms and configuration settings. They must not be treated as absolute, definitive, guaranteed or free from error.
Sensors and field equipment are inherently subject to variance, drift, noise, malfunction, calibration issues, environmental interference, operator error and uncertainty. Outputs may vary depending on collection method, hardware, filtering, processing depth, project context and local geological conditions.
GeoVue cloud processing may process points or datasets using automated methods that do not necessarily include all wider project information. Cloud outputs may differ from consulting, hardware-based or manually reviewed methods.
3. Accounts and access
Age restriction: GeoVue is intended only for users who are 18 years of age or older. Children and persons under the age of 18 are not permitted to create an account, purchase credits, submit data, use free processing, use paid processing, generate reports, access AI features or otherwise use GeoVue. By using GeoVue, you represent that you are at least 18 years old and have the legal capacity and authority to accept these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate account, billing and contact information and keep it up to date.
You must not use the Services unlawfully, interfere with the Services, attempt unauthorised access, reverse engineer restricted code or systems, upload malicious content, infringe third-party rights, or use the Services in a way that creates excessive operational, legal, security or chargeback risk.
GeoVue may suspend, restrict or terminate access where we reasonably believe that your use breaches these Terms, creates security or payment risk, violates applicable law, or could harm GeoVue, Paddle, users, payment networks or third parties.
4. Data, ownership and free processing
Except for Free Processing as described below, you retain ownership of your original Data. You grant GeoVue a worldwide licence to host, copy, transmit, process, analyse, transform, store and display Data as necessary to provide, secure, maintain, improve and support the Services.
You represent that you have the right to submit the Data and that submission and processing of the Data will not violate any third-party intellectual property, privacy, confidentiality, employment, government, land-access, regulatory or contractual rights. You agree that all responsibilities associated with collecting data and any subsequent legal action, costs and legal remedies that arise from submitting that data to GeoVue reside solely with you.
You are responsible for backing up your own project files and exported reports. GeoVue is not responsible for loss of local browser storage, device data, project backups, recordings or exported files.
5. AI and automated features
GeoVue may provide AI, machine-learning or automated discussion features for assessment and decision-support purposes. These features are experimental and may produce incomplete, inaccurate, misleading, biased, outdated, irrelevant or erroneous outputs.
You remain solely responsible for verifying and validating all AI or automated outputs, obtaining qualified professional advice where appropriate, and deciding whether any output is suitable for your intended purpose.
AI features may involve transmission of prompts, project summaries, generated outputs and related metadata through GeoVue servers and third-party service providers. Do not submit information to AI features unless you have the right to do so and accept the processing described in the Privacy Policy.
6. Payments through Paddle
GeoVue uses Paddle as merchant of record or authorised reseller for eligible paid products, subscriptions, credits or services. When you purchase through Paddle, Paddle may be the seller of record for the transaction and may handle checkout, payment processing, taxes, invoices, receipts, fraud checks, chargebacks and refund processing.
Your use of GeoVue remains governed by these Terms, while your purchase and payment experience may also be governed by Paddle’s buyer terms, checkout terms, privacy policy and refund policy presented at checkout or made available by Paddle.
Prices, taxes, currencies, payment methods, invoices and renewal details are shown at checkout or in Paddle communications. You are responsible for ensuring payment information is accurate and that Paddle emails are not blocked by spam filters.
7. Refunds
Refund eligibility is described in our separate Refund Policy. In summary, unused processing credits may be eligible for refund within the stated refund window, while processing credits consumed by completed processing are generally non-refundable except where required by law or where Paddle or GeoVue approves a discretionary refund.
Nothing in these Terms limits non-waivable consumer rights or statutory rights that apply to you.
8. User responsibilities and professional risk
You are responsible for independent verification, professional consultation, risk assessment and suitability decisions. You should obtain advice from qualified geologists, geophysicists, engineers, hydrologists, drilling professionals, legal advisors and other experts where appropriate.
GeoVue does not guarantee the success of exploration, drilling, mining, water-supply, engineering, construction, investment or commercial decisions. GeoVue does not guarantee the presence, absence, quantity, quality, accessibility or economic value of any resource or geological condition.
Filtering changes the characteristics of original data. You are responsible for assessing whether applied filtering, processing settings, project assumptions and depth selections are suitable for your purposes.
9. Services provided “as is”
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis, with all faults, defects and errors. GeoVue disclaims warranties of accuracy, reliability, completeness, merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, security and error-free operation.
GeoVue provides no professional consulting, engineering, geological, legal, financial or investment advice unless expressly agreed in a separate written agreement signed by an authorised GeoVue representative.
10. Limitation of liability and indemnity
To the maximum extent permitted by applicable law, GeoVue and its directors, officers, employees, contractors, suppliers and affiliates will not be liable for indirect, consequential, incidental, special, exemplary or punitive damages; lost profits; lost revenue; lost data; business interruption; exploration failure; drilling failure; resource-estimation error; reputational harm; or third-party claims arising from or related to the Services.
You agree to indemnify and hold harmless GeoVue from claims, losses, costs and expenses arising from your Data, your breach of these Terms, your unlawful use of the Services, your infringement of third-party rights, or decisions made based on Service outputs.
11. Legal terms
These Terms are governed by the laws of New Zealand. Subject to any non-waivable consumer or local law rights, disputes relating to these Terms or the Services are subject to the exclusive jurisdiction of the courts of New Zealand.
If any part of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. GeoVue may assign its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, change of control or business transfer. You may not assign your rights without GeoVue’s prior written consent.
GeoVue may update these Terms from time to time. The updated version will apply when posted or otherwise made available. Material changes may be notified through the app, website or email where appropriate.
